1. Geltungsbereich

1.1 Diese Allgemeinen Geschäftsbedingungen (nachfolgend "AGB") der Jaymes GmbH (nachfolgend "Verkäufer"), gelten für alle Verträge über die Lieferung von Waren, die ein Verbraucher oder Unternehmer (nachfolgend „Kunde“) mit dem Verkäufer hinsichtlich der vom Verkäufer in seinem Online-Shop dargestellten Waren abschließt. Hiermit wird der Einbeziehung von eigenen Bedingungen des Kunden widersprochen, es sei denn, es ist etwas anderes vereinbart.

1.2 Verbraucher im Sinne dieser AGB ist jede natürliche Person, die ein Rechtsgeschäft zu Zwecken abschließt, die überwiegend weder ihrer gewerblichen noch ihrer selbständigen beruflichen Tätigkeit zugerechnet werden können. Unternehmer im Sinne dieser AGB ist eine natürliche oder juristische Person oder eine rechtsfähige Personengesellschaft, die bei Abschluss eines Rechtsgeschäfts in Ausübung ihrer gewerblichen oder selbständigen beruflichen Tätigkeit handelt.


2. Vertragsschluss

2.1 Die im Online-Shop des Verkäufers enthaltenen Produktbeschreibungen stellen keine verbindlichen Angebote seitens des Verkäufers dar, sondern dienen zur Abgabe eines verbindlichen Angebots durch den Kunden.

2.2 Der Kunde kann das Angebot über das in den Online-Shop des Verkäufers integrierte Online-Bestellformular abgeben. Dabei gibt der Kunde, nachdem er die ausgewählten Waren in den virtuellen Warenkorb gelegt und den elektronischen Bestellprozess durchlaufen hat, durch Klicken des den Bestellvorgang abschließenden Buttons ein rechtlich verbindliches Vertragsangebot in Bezug auf die im Warenkorb enthaltenen Waren ab.

2.3 Der Verkäufer kann das Angebot des Kunden innerhalb von fünf Tagen annehmen,
- indem er dem Kunden eine schriftliche Auftragsbestätigung oder eine Auftragsbestätigung in Textform (Fax oder E-Mail) übermittelt, wobei insoweit der Zugang der Auftragsbestätigung beim Kunden maßgeblich ist, oder
- indem er dem Kunden die bestellte Ware liefert, wobei insoweit der Zugang der Ware beim Kunden maßgeblich ist, oder
- indem er den Kunden nach Abgabe von dessen Bestellung zur Zahlung auffordert.

Liegen mehrere der vorgenannten Alternativen vor, kommt der Vertrag in dem Zeitpunkt zustande, in dem eine der vorgenannten Alternativen zuerst eintritt. Die Frist zur Annahme des Angebots beginnt am Tag nach der Absendung des Angebots durch den Kunden zu laufen und endet mit dem Ablauf des fünften Tages, welcher auf die Absendung des Angebots folgt. Nimmt der Verkäufer das Angebot des Kunden innerhalb vorgenannter Frist nicht an, so gilt dies als Ablehnung des Angebots mit der Folge, dass der Kunde nicht mehr an seine Willenserklärung gebunden ist.

2.4 Bei Auswahl einer von PayPal angebotenen Zahlungsart erfolgt die Zahlungsabwicklung über den Zahlungsdienstleister PayPal (Europe) S.à r.l. et Cie, S.C.A., 22-24 Boulevard Royal, L-2449 Luxembourg (im Folgenden: „PayPal“), unter Geltung der PayPal-Nutzungsbedingungen, einsehbar unter https://www.paypal.com/de/webapps/mpp/ua/useragreement-full oder - falls der Kunde nicht über ein PayPal-Konto verfügt – unter Geltung der Bedingungen für Zahlungen ohne PayPal-Konto, einsehbar unter https://www.paypal.com/de/webapps/mpp/ua/privacywax-full. Zahlt der Kunde mittels einer im Online-Bestellvorgang auswählbaren von PayPal angebotenen Zahlungsart, erklärt der Verkäufer schon jetzt die Annahme des Angebots des Kunden in dem Zeitpunkt, in dem der Kunde den den Bestellvorgang abschließenden Button anklickt.

2.5 Bei Auswahl der Zahlungsart "Amazon Payments" erfolgt die Zahlungsabwicklung über den Zahlungsdienstleister Amazon Payments Europe s.c.a., 38 avenue John F. Kennedy, L-1855 Luxemburg (im Folgenden: „Amazon“), unter Geltung der Amazon Payments Europe Nutzungsvereinbarung, einsehbar unter https://payments.amazon.de/help/201751590. Wählt der Kunde im Rahmen des Online-Bestellvorgangs „Amazon Payments“ als Zahlungsart aus, erteilt er durch Klicken des den Bestellvorgang abschließenden Buttons zugleich auch einen Zahlungsauftrag an Amazon. Für diesen Fall erklärt der Verkäufer schon jetzt die Annahme des Angebots des Kunden in dem Zeitpunkt, in dem der Kunde durch Klicken des den Bestellvorgang abschließenden Buttons den Zahlungsvorgang auslöst.

2.6 Bei der Abgabe eines Angebots über das Online-Bestellformular des Verkäufers wird der Vertragstext nach dem Vertragsschluss vom Verkäufer gespeichert und dem Kunden nach Absendung von dessen Bestellung in Textform (z. B. E-Mail, Fax oder Brief) übermittelt. Eine darüber hinausgehende Zugänglichmachung des Vertragstextes durch den Verkäufer erfolgt nicht.

2.7 Vor verbindlicher Abgabe der Bestellung über das Online-Bestellformular des Verkäufers kann der Kunde mögliche Eingabefehler durch aufmerksames Lesen der auf dem Bildschirm dargestellten Informationen erkennen. Ein wirksames technisches Mittel zur besseren Erkennung von Eingabefehlern kann dabei die Vergrößerungsfunktion des Browsers sein, mit deren Hilfe die Darstellung auf dem Bildschirm vergrößert wird. Seine Eingaben kann der Kunde im Rahmen des elektronischen Bestellprozesses so lange über die üblichen Tastatur- und Mausfunktionen korrigieren, bis er den den Bestellvorgang abschließenden Button anklickt.

2.8 Für den Vertragsschluss stehen die deutsche und die englische Sprache zur Verfügung.

2.9 Die Bestellabwicklung und Kontaktaufnahme finden in der Regel per E-Mail und automatisierter Bestellabwicklung statt. Der Kunde hat sicherzustellen, dass die von ihm zur Bestellabwicklung angegebene E-Mail-Adresse zutreffend ist, so dass unter dieser Adresse die vom Verkäufer versandten E-Mails empfangen werden können. Insbesondere hat der Kunde bei dem Einsatz von SPAM-Filtern sicherzustellen, dass alle vom Verkäufer oder von diesem mit der Bestellabwicklung beauftragten Dritten versandten E-Mails zugestellt werden können.


3. Widerrufsrecht

3.1 Verbrauchern steht grundsätzlich ein Widerrufsrecht zu.

3.2 Nähere Informationen zum Widerrufsrecht ergeben sich aus der Widerrufsbelehrung des Verkäufers.


4. Preise und Zahlungsbedingungen

4.1 Sofern sich aus der Produktbeschreibung des Verkäufers nichts anderes ergibt, handelt es sich bei den angegebenen Preisen um Gesamtpreise, die die gesetzliche Umsatzsteuer enthalten. Gegebenenfalls zusätzlich anfallende Liefer- und Versandkosten werden in der jeweiligen Produktbeschreibung gesondert angegeben.

4.2 Bei Lieferungen in Länder außerhalb der Europäischen Union können im Einzelfall weitere Kosten anfallen, die der Verkäufer nicht zu vertreten hat und die vom Kunden zu tragen sind. Hierzu zählen beispielsweise Kosten für die Geldübermittlung durch Kreditinstitute (z.B. Überweisungsgebühren, Wechselkursgebühren) oder einfuhrrechtliche Abgaben bzw. Steuern (z.B. Zölle). Solche Kosten können in Bezug auf die Geldübermittlung auch dann anfallen, wenn die Lieferung nicht in ein Land außerhalb der Europäischen Union erfolgt, der Kunde die Zahlung aber von einem Land außerhalb der Europäischen Union aus vornimmt.

4.3 Die Zahlungsmöglichkeit/en wird/werden dem Kunden im Online-Shop des Verkäufers mitgeteilt.

4.4 Bei Auswahl einer über den Zahlungsdienst "Shopify Payments" angebotenen Zahlungsarten erfolgt die Zahlungsabwicklung über den Zahlungsdienstleister Stripe Payments Europe Ltd., 1 Grand Canal Street Lower, Grand Canal Dock, Dublin, Irland (nachfolgend "Stripe"). Die einzelnen über Shopify Payments angebotenen Zahlungsarten werden dem Kunden im Online-Shop des Verkäufers mitgeteilt. Zur Abwicklung von Zahlungen kann sich Stripe weiterer Zahlungsdienste bedienen, für die ggf. besondere Zahlungsbedingungen gelten, auf die der Kunde ggf. gesondert hingewiesen wird. Weitere Informationen zu "Shopify Payments" sind im Internet unter https://www.shopify.com/legal/terms-payments-de abrufbar.

4.5 Bei Auswahl der Zahlungsart „PayPal Lastschrift“ zieht PayPal den Rechnungsbetrag nach Erteilung eines SEPA-Lastschriftmandats, nicht jedoch vor Ablauf der Frist für die Vorabinformation im Auftrag des Verkäufers vom Bankkonto des Kunden ein. Vorabinformation ("Pre-Notification") ist jede Mitteilung (z.B. Rechnung, Police, Vertrag) an den Kunden, die eine Belastung mittels SEPA-Lastschrift ankündigt. Wird die Lastschrift mangels ausreichender Kontodeckung oder aufgrund der Angabe einer falschen Bankverbindung nicht eingelöst oder widerspricht der Kunde der Abbuchung, obwohl er hierzu nicht berechtigt ist, hat der Kunde die durch die Rückbuchung des jeweiligen Kreditinstituts entstehenden Gebühren zu tragen, wenn er dies zu vertreten hat.

4.6 Bei Auswahl der Zahlungsart Lastschrift via Stripe erfolgt die Zahlungsabwicklung über den Zahlungsdienstleister Stripe Payments Europe Ltd., 1 Grand Canal Street Lower, Grand Canal Dock, Dublin, Irland (im Folgenden: „Stripe“). In diesem Fall zieht Stripe den Rechnungsbetrag nach Erteilung eines SEPA-Lastschriftmandats, nicht jedoch vor Ablauf der Frist für die Vorabinformation im Auftrag des Verkäufers vom Bankkonto des Kunden ein. Vorabinformation ("Pre-Notification") ist jede Mitteilung (z.B. Rechnung, Police, Vertrag) an den Kunden, die eine Belastung mittels SEPA-Lastschrift ankündigt. Wird die Lastschrift mangels ausreichender Kontodeckung oder aufgrund der Angabe einer falschen Bankverbindung nicht eingelöst oder widerspricht der Kunde der Abbuchung, obwohl er hierzu nicht berechtigt ist, hat der Kunde die durch die Rückbuchung des jeweiligen Kreditinstituts entstehenden Gebühren zu tragen, wenn er dies zu vertreten hat. Der Verkäufer behält sich vor, bei Auswahl der Zahlungsart SEPA-Lastschrift eine Bonitätsprüfung durchzuführen und diese Zahlungsart bei negativer Bonitätsprüfung abzulehnen.

4.7 Bei Auswahl der Zahlungsart Kreditkarte via Stripe ist der Rechnungsbetrag mit Vertragsschluss sofort fällig. Die Zahlungsabwicklung erfolgt über den Zahlungsdienstleister Stripe Payments Europe Ltd., 1 Grand Canal Street Lower, Grand Canal Dock, Dublin, Irland (im Folgenden: „Stripe“). Stripe behält sich vor, eine Bonitätsprüfung durchzuführen und diese Zahlungsart bei negativer Bonitätsprüfung abzulehnen.


5. Liefer- und Versandbedingungen

5.1 Die Lieferung von Waren erfolgt auf dem Versandweg an die vom Kunden angegebene Lieferanschrift, sofern nichts anderes vereinbart ist. Bei der Abwicklung der Transaktion ist die in der Bestellabwicklung des Verkäufers angegebene Lieferanschrift maßgeblich.

5.2 Scheitert die Zustellung der Ware aus Gründen, die der Kunde zu vertreten hat, trägt der Kunde die dem Verkäufer hierdurch entstehenden angemessenen Kosten. Dies gilt im Hinblick auf die Kosten für die Hinsendung nicht, wenn der Kunde sein Widerrufsrecht wirksam ausübt. Für die Rücksendekosten gilt bei wirksamer Ausübung des Widerrufsrechts durch den Kunden die in der Widerrufsbelehrung des Verkäufers hierzu getroffene Regelung.

5.3 Selbstabholung ist aus logistischen Gründen nicht möglich.


6. Eigentumsvorbehalt

Tritt der Verkäufer in Vorleistung, behält er sich bis zur vollständigen Bezahlung des geschuldeten Kaufpreises das Eigentum an der gelieferten Ware vor.


7. Mängelhaftung (Gewährleistung)

7.1 Ist die Kaufsache mangelhaft, gelten die Vorschriften der gesetzlichen Mängelhaftung.

7.2 Der Kunde wird gebeten, angelieferte Waren mit offensichtlichen Transportschäden bei dem Zusteller zu reklamieren und den Verkäufer hiervon in Kenntnis zu setzen. Kommt der Kunde dem nicht nach, hat dies keinerlei Auswirkungen auf seine gesetzlichen oder vertraglichen Mängelansprüche.


8. Anwendbares Recht

Für sämtliche Rechtsbeziehungen der Parteien gilt das Recht der Bundesrepublik Deutschland unter Ausschluss der Gesetze über den internationalen Kauf beweglicher Waren. Bei Verbrauchern gilt diese Rechtswahl nur insoweit, als nicht der gewährte Schutz durch zwingende Bestimmungen des Rechts des Staates, in dem der Verbraucher seinen gewöhnlichen Aufenthalt hat, entzogen wird.


9. Gerichtsstand

Handelt der Kunde als Kaufmann, juristische Person des öffentlichen Rechts oder öffentlich-rechtliches Sondervermögen mit Sitz im Hoheitsgebiet der Bundesrepublik Deutschland, ist ausschließlicher Gerichtsstand für alle Streitigkeiten aus diesem Vertrag der Geschäftssitz des Verkäufers. Hat der Kunde seinen Sitz außerhalb des Hoheitsgebiets der Bundesrepublik Deutschland, so ist der Geschäftssitz des Verkäufers ausschließlicher Gerichtsstand für alle Streitigkeiten aus diesem Vertrag, wenn der Vertrag oder Ansprüche aus dem Vertrag der beruflichen oder gewerblichen Tätigkeit des Kunden zugerechnet werden können. Der Verkäufer ist in den vorstehenden Fällen jedoch in jedem Fall berechtigt, das Gericht am Sitz des Kunden anzurufen.


10. Verhaltenskodex

Der Verkäufer hat sich den Teilnahmebedingungen für die eCommerce-Initiative „Fairness im Handel“ unterworfen, die im Internet unter https://www.fairness-im-handel.de/teilnahmebedingungen/ einsehbar sind.


11. Alternative Streitbeilegung

11.1 Die EU-Kommission stellt im Internet unter folgendem Link eine Plattform zur Online-Streitbeilegung bereit: https://ec.europa.eu/consumers/odr

Diese Plattform dient als Anlaufstelle zur außergerichtlichen Beilegung von Streitigkeiten aus Online-Kauf- oder Dienstleistungsverträgen, an denen ein Verbraucher beteiligt ist.

11.2 Der Verkäufer ist zur Teilnahme an einem Streitbeilegungsverfahren vor einer Verbraucherschlichtungsstelle nicht verpflichtet, hierzu jedoch grundsätzlich bereit.

1. Scope of Application

1.1 These General Terms and Conditions (hereinafter referred to as "GTC") of the company Jaymes GmbH (hereinafter referred to as "Seller”) shall apply to all contracts concluded between a consumer or a trader (hereinafter referred to as "Client”) and the Seller relating to all goods and/or services presented in the Seller's online shop. The inclusion of the Client’s own conditions is herewith objected to, unless other terms have been stipulated.

1.2 A consumer pursuant to these GTC is any natural person concluding a legal transaction for a purpose attributed neither to a mainly commercial nor a self-employed occupational activity. A trader pursuant to these GTC is any natural or legal person or partnership with legal capacity acting in the performance of a commercial or self-employed occupational activity when concluding a legal transaction.


2. Conclusion of the Contract

2.1 The product descriptions in the Seller’s online shop do not constitute binding offers on the part of the Seller, but merely serve the purpose of submitting a binding offer by the Client.

2.2 The Client may submit the offer via the online order form integrated into the Seller's online shop. In doing so, after having placed the selected goods and/or services in the virtual basket and passed through the ordering process, and by clicking the button finalizing the order process, the Client submits a legally binding offer of contract with regard to the goods and/or services contained in the shopping cart.

2.3 The Seller may accept the Client’s offer within five days,
- by transferring a written order confirmation or an order confirmation in written form (fax or e-mail); insofar receipt of order confirmation by the Client is decisive, or
- by delivering ordered goods to the Client; insofar receipt of goods by the Client is decisive, or
- by requesting the Client to pay after he placed his

Provided that several of the aforementioned alternatives apply, the contract shall be concluded at the time when one of the aforementioned alternatives firstly occurs. Should the Seller not accept the Client’s offer within the aforementioned period of time, this shall be deemed as rejecting the offer with the effect that the Client is no longer bound by his statement of intent.

2.4 If the Client chooses "PayPal Express” when placing his order, payment processing is handled by the payment service provider PayPal (Europe) S.a.r.l. et Cie, S.C.A., 22-24 Boulevard Royal, L-2449 Luxembourg (hereinafter referred to as “PayPal”). The PayPal terms of use shall apply which can be viewed at: https://www.paypal.com/ie/webapps/mpp/ua/servicedescription-full?locale.x=en_IE.

In case the Client has no PayPal account, the conditions for payments without PayPal account will apply which can be viewed at: https://www.paypal.com/ie/webapps/mpp/ua/legalhub-full?locale.x=en_US.

If the Client chooses “PayPal Express” as payment method, he initiates also a payment order to PayPal by clicking the button finalizing the order process. In this case, the Seller declares his acceptance of the Client’s offer already at the time when the Client initiates the payment transaction by clicking the button finalizing the ordering process.

2.5 If the Client chooses the payment method “Amazon Payments”, payments are processed by the payment service provider Amazon Payments Europe S.C.A., 38 avenue John F. Kennedy, L-1855 Luxembourg (hereinafter referred to as „Amazon“).

If the Client chooses “Amazon Payments” as payment method during the online ordering process, he, at the same time, makes a payment order to Amazon when initiating the payment transaction by clicking the button finalizing the ordering process. In this case, the Seller declares his acceptance of the Client’s offer at the time when the Client initiates the payment transaction by clicking the button finalizing the ordering process.

2.6 When submitting an offer via the Seller's online order form, the text of the contract is stored by the Seller after the contract has been concluded and transmitted to the Client in text form (e.g. e-mail, fax or letter) after the order has been sent. The Seller shall not make the contract text accessible beyond this.

2.7 Prior to submitting a binding order via the Seller’s online order form, the Client may recognize input errors by reading attentively the information displayed on the screen. The enlargement function of the browser to enlarge the display on the screen may be an effective method for better recognizing input errors.

The Client can correct all the data entered via the usual keyboard and mouse function during the electronic ordering process, until he clicks the button finalizing the ordering process.

2.8 The German and the English language are exclusively available for the conclusion of the contract.

2.9 Order processing and contacting usually takes place via e-mail and automated order processing. It is the Client’s responsibility to ensure that the e-mail address he provides for the order processing is accurate so that e-mails sent by the Seller can be received at this address. In particular, it is the Client`s responsibility, if SPAM filters are used, to ensure that all e-mails sent by the Seller or by third parties commissioned by the Seller with the order processing can be delivered.


3. Right to Cancel

3.1 Consumers are entitled to the right to cancel.

3.2 Detailed information about the right to cancel are provided in the Seller’s instruction on cancellation.


4. Prices and Payment Conditions

4.1 Unless otherwise stated in the Seller’s product description, prices indicated are total prices including the statutory sales tax. Delivery costs, where appropriate, will be indicated separately in the respective product description.

4.2 Payment can be made using one of the methods mentioned in the Seller’s online shop.

4.3 If the payment method "PayPal direct debit" is selected, PayPal collects the invoice amount from the customer's bank account on behalf of the Seller after a SEPA direct debit mandate has been issued, but not before the deadline for pre-notification has expired. Pre-notification means any communication (e. g. invoice, policy, contract) to the Client announcing a debit via SEPA direct debit. If the direct debit is not honored due to insufficient account coverage or due to the indication of an incorrect bank account, or if the Client objects to the debit, even though he is not entitled to do so, the Client shall bear the fees arising from the reversal of the respective bank, if he is responsible for this.

4.4 If the payment method direct debit via Stripe is selected, the payment shall be processed via the payment service provider Stripe Payments Europe Ltd., 1 Grand Canal Street Lower, Grand Canal Dock, Dublin, Ireland (hereinafter referred to as "Stripe"). In this case, Stripe collects the invoice amount from the customer's bank account on behalf of the Seller after a SEPA direct debit mandate has been issued, but not before the expiry of the period for pre-notification. Pre-notification is any communication (e.g. invoice, policy, contract) to the Client that announces a debit by means of a SEPA direct debit. If the direct debit is not redeemed due to insufficient funds in the account or due to the indication of incorrect bank details, or if the Client objects to the debit although he is not entitled to do so, the Client shall bear the fees arising from the reversal of the debit entry by the respective credit institution if he is responsible for this. The Seller reserves the right to carry out a credit check when selecting the SEPA direct debit payment method and to reject this payment method in the event of a negative credit check.

4.5 Credit card payment via Stripe
When selecting the payment method credit card, the invoice amount is due immediately upon conclusion of the contract. Payment by credit card is processed in cooperation with Stripe Payments Europe Ltd., 1 Grand Canal Street Lower, Grand Canal Dock, Dublin, Irland (hereinafter referred to as "Stripe"). Stripe reserves the right to carry out a credit assessment and to refuse this payment method if the credit check is negative.

4.6 When payments are made using a payment method offered by PayPal, handling of payments takes place via the payment service provider PayPal ((Europe) S.a. r.l. et Cie, S.C.A., 22-24 Boulevard Royal, L-2449 Luxembourg (hereinafter called “PayPal”) subject to the PayPal terms of use which can be viewed at: https://www.paypal.com/de/webapps/mpp/ua/useragreement-full.

In case the client has no PayPal account, the conditions applicable for payments without PayPal account will be effective. They can be viewed at: https://www.paypal.com/de/webapps/mpp/ua/privacywax-full

4.7 When choosing a payment method offered via the payment service "Shopify Payments", payment will be processed via the payment service provider Shopify International Limited, Victoria Buildings, 2nd floor, 1-2 Haddington Road, Dublin 4, D04 XN32, Ireland (hereinafter referred to as "Shopify"). The individual payment methods offered via Shopify are communicated to the Client in the Seller's online shop. Shopify may use other payment services to process payments, which may be subject to special payment terms, to which the Client customer is separately referred. Further information on "Shopify Payments" can be found at https://www.shopify.com/payments.


5. Shipment and Delivery Conditions

5.1 Goods are generally delivered on dispatch route and to the delivery address indicated by the Client, unless agreed otherwise. During the processing of the transaction, the delivery address indicated in the Seller’s order processing is decisive.

5.2 Should the assigned transport company return the goods to the Seller, because delivery to the Client was not possible, the Client bears the costs for the unsuccessful dispatch. This shall not apply, if the Client exercises his right to cancel effectively, if the delivery cannot be made due to circumstances beyond the Client's control or if he has been temporarily impeded to receive the offered service, unless the Seller has notified the Client about the service for a reasonable time in advance.

5.3 Personal collection is not possible for logistical reasons.


6. Reservation of Proprietary Rights

If the Seller provides advance deliveries, he retains title of ownership to the delivered goods, until the purchase price owed has been paid in full.


7. Warranty

7.1 Should the object of purchase be deficient, statutory provisions shall apply.

7.2 The Client is asked to notify any obvious transport damages to the forwarding agent and to inform the Seller accordingly. Should the Client fail to comply therewith, this shall not affect his statutory or contractual claims for defects.


8. Applicable Law

8.1 The law of the Federal Republic of Germany shall apply to all legal relationships between the parties under exclusion of the laws governing the international purchase of movable goods. For consumers, this choice of law only applies to the extent that the granted protection is not withdrawn by mandatory provisions of the law of the country, in which the consumer has his habitual residence.

8.2 With regard to the statutory right of cancellation, this choice of law does not apply to consumers who do not belong to a member state of the European Union at the time of the conclusion of the contract and whose sole place of residence and delivery address are outside the European Union at the time of the conclusion of the contract.


9. Place of Jurisdiction

If the Client is a businessman, a legal entity of public law or a separate estate under public law with its seat in the territory of the Federal Republic of Germany, the Seller’s place of business shall be the sole place of jurisdiction for all legal disputes arising from this contract.. If the Client is domiciled outside the territory of the Federal Republic of Germany, the Seller’s place of business shall be the sole place of jurisdiction for all legal disputes arising from this contract provided that the contract or claims from the contract can be assigned to the Client’s professional or commercial activities. In any event however, regarding the aforementioned cases the Seller is entitled to call the court responsible for the seat of the Client.


10. Code of conduct

The Seller has agreed to the conditions of participation for the e-commerce initiative "Fairness in Commerce", which can be viewed on the Internet at https://www.fairness-im-handel.de/teilnahmebedingungen/.


11. Alternative dispute resolution

11.1 The EU Commission provides on its website the following link to the ODR platform: https://ec.europa.eu/consumers/odr.

This platform shall be a point of entry for out-of-court resolutions of disputes arising from online sales and service contracts concluded between consumers and traders.

11.2 The Seller is not obliged to use ADR entities to resolve disputes with consumers, but he is in principle ready for this.
